Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 29, 2023, Ronald Bernal informed the Chair of the Board of Directors (the “Board”) of IonQ, Inc. (the “Company”) of his resignation as a member of the Board, a member of the Compensation Committee, and a member and the Chair of the Nominating and Corporate Governance Committee, effective immediately. Mr. Bernal’s decision was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Bernal and NEA, the venture capital firm where he serves as a Venture Partner, no longer beneficially own any Company shares. The Company and the Board are grateful to Mr. Bernal for his service.
